Minneapolis Featured in Three Upcomming Episodes of Antiques Roadshow!

While filming at the Minneapolis Convention Center last July, ANTIQUES ROADSHOW recorded an appraisal with its first Pro Football Hall of Famer. Alan Page is an Associate Justice with the Minnesota Supreme Court and played both for the Minnesota Vikings and the Chicago Bears in the 1970s.
Among other guests featured in the brand new episodes is a tpt Studio Societymember, Winifred Hed. Winifred brought a painting by Tom Hall that she originally bought at an estate sale for under $200. It was selected to be filmed for the show.

CROWDFUNDING INVESTING NOW POSSIBLE
President Obama signed the Jumpstart Our Business Startups (JOBS) Act into law. The JOBS Act makes it easier for startups and small entrepreneurs to raise funds through online Crowdfunding.
Prior to the passage of this law, startups and small entrepreneurs could only use the internet to raise financing through donations. Crowdfunding could not be used for investing in business ventures. This new law changes that. It also makes it easier for entrepreneurs and small businesses to raise financing from non-accredited (people who are not wealthy) investors.
HOW DOES JOBS WORK?
Here are some of the important features of the new law:

New Rules: The new Crowdfunding exemption allows you to finance your company by selling securities in a mini-public offering without registration (which is expensive.) You must comly with new rules to be adopted by the Securities and Exchange Commission (SEC). These new rules should be available soon.

Non-Accredited Investors: The new law will make it easier for you to raise financing from non-accredited investors (e.g. the "99%") which is the vast majority of the American public.

Amounts Raised: The new Crowdfunding exemption allows you to offer and sell securities using the internet on the following basis:
- You can sell your securities in a total amount of up to $1 million in 12 months.

Amounts sold to any one investor cannot exceed the greater of $2000 or
- 5% of the investor's annual income or net worth if annual income or net worth are less than $100,000.

10% of the investor's annual income or net worth if annual income or net worth are greater than $100,000.

Must Use an Intermediary: You cannot make these offers online directly. The offers must be conducted through a broker or funding portal. Brokers may not be interested in offerings under $1 Million so expect to see new funding portals springing up.

Minimums - You Can't Use the Funds Until You Raise the Target Amount: You are required to set a target offering amount (up to $1 Million) and a deadline to reach that target. Your intermediary (the broker or portal) cannot release funds to you until the target is reached. If you don't raise the target amount, the funds go back to the investors.

Notices of the Offering: Although you cannot advertise your offering, you can send out notices that direct potential investors to the broker's or funding portal's website.

Issuer Disclosure Requirements: You must make certain disclosures to the SEC, to investors, and to the brokers or funding portals. The information to be filed with the SEC includes, for example, financial statements that are either certified by your CEO, reviewed by an independent CPA, or audited depending on the target amount of the offering to be raised. After the Crowdfunding offering, your company must report annually to the SEC and give investors reports and financial statements.

Finders: You may not compensate finders or promoters under the Crowdfunding exemption unless you satisfy SEC rules to ensure the finder clearly discloses all past and prospective compensation.
- Another bonus - Easing of State Law Requirements: The new law provides that sales under the Crowdfunding exemption will not be subject to state law registration, documentation or offering requirements but states will still have jurisdiction with respect to claims for fraud, deceit or unlawful conduct.
WHEN IS THE JOBS LAW EFFECTIVE? Most of the new law is effective immediately but we must wait for the new rules from the SEC. The SEC has indicated the new rules will be enacted very soon.

SAG, AFTRA Members Approve Merger to form SAG-AFTRA
Effective immediately the merger brings more than 150,000 actors, journalists, news writers and editors, puppeteers, recording artists and other media professionals under a single union banner.
LOS ANGELES (March 30, 2012) — The American Federation of Television and Radio Artists and Screen Actors Guild are pleased to announce that members of both organizations have overwhelmingly voted to approve a merger, creating a new entity, SAG-AFTRA. SAG members voted 82 percent in favor of the merger. AFTRA members favored the merger with 86 percent, exceeding the 60 percent threshold needed for both unions’ membership for passage.
The merger is effective immediately, and brings under a single union banner more than 150,000 actors, announcers, broadcasters journalists, dancers, DJs, news writers, news editors, program hosts, puppeteers, recording artists, singers, stunt performers, voiceover artists and other media professionals. Their work can be seen and heard in theaters, on television and radio, sound recordings, the Internet, games, mobile devices and home video.
“With this historic vote, members of both unions have affirmed one of the most basic principles of unionism: Together we are stronger,” said SAG-AFTRA National Co-President Ken Howard. “This merger, the result of months – really years – of planning, brings together the best elements of both unions and positions us well to thrive in the changing 21st-century media landscape.”
“The merger of these two unions is a huge victory for our members, and it is a monumental achievement for the labor movement,” said SAG-AFTRA National Co-President Roberta Reardon. “As this vote today proves, great and transformative things are possible when working Americans stand together and shape their collective destiny through their union. I applaud every member who voted, and invite all members, locally and nationally, to join with us in building a successor union worthy of AFTRA and SAG.”
In July 2010, Reardon and Howard, as presidents of AFTRA and SAG respectively, created the Presidents’ Forum for One Union to facilitate focused and informed discussions between leaders of the two unions and their members to establish a common vision for a single, new national union.
The forum included a nationwide Listening Tour, in which Howard and Reardon traveled to cities across the country to connect with members and solicit their feedback for a possible merger. They received an overwhelmingly positive response.
In June 2011, elected member leaders from both unions formed the Group for One Union — known as G1 — which subsequently created workgroups to focus on key areas such as governance, collective bargaining and operations for the proposed new union. In late January, the National Boards of AFTRA and SAG overwhelmingly voted to send the merger package to members for ratification.
The following are results for both unions:
SAG:
o 105,368 number of ballots mailed.
o 81.9 percent yes votes
o 53 percent returned
AFTRA:
o 65,744 number of ballots mailed.
o 86.18 percent of yes votes
o 51.7 percent returned
